Description
Legal advice on the formation of a company:
TeleSAN is in the final phase prior to its establishment as a provider of digital healthcare solutions with the aim of offering telemedical care solutions throughout Saxony-Anhalt. Among other things, the platform is intended to facilitate access to medical expertise through digital consultations and thus strengthen healthcare provision in rural areas. In view of the increasing supply bottlenecks and the shortage of specialists, TeleSAN is intended to act as the backbone of tiered, regional care, enabling the secure exchange of medical information in real time. The university hospitals in Halle and Magdeburg play a central role as initiators and main sponsors of this telemedical lighthouse project, which should also have positive effects on pandemic resilience and cross-sector cooperation in healthcare.
The aim of the award is to contractually bind a law firm with proven expertise in corporate law for the preparation and establishment of a company to pursue the objective of the TeleSAN project as quickly as possible.
In the context of founding TeleSAN, comprehensive legal support is necessary in order to establish a solid and legally secure corporate structure. This includes the analysis of the appropriate legal form as well as the detailed design of the shareholder structures and the legal framework for the future company.
The provision of services should start within 1 week of the award of the contract and be completed as quickly as possible.
The bidder undertakes to support the formation of the company, taking into account the specific requirements of the project. This includes the preparation and coordination of the articles of association and the shareholders' agreement, cooperation with notary's offices, and support in the preparation of committee documents and notarization. The bidder must ensure the availability and flexibility to respond to the requirements of the project participants at short notice.
The total budget is limited to €100,000 net with no guarantee of a minimum purchase.
The planned award of contract will take place within the framework of a negotiated award without a call for competition in accordance with §12 UVgO. Interested companies that consider themselves capable of providing the service are invited to submit a bid by 10:00 a.m. on January 3, 2025. The procedure will be conducted exclusively via the federal government's e-tendering platform (electronic procedure / electronic submission of tenders); interested companies are requested to contact vergabe@uk-halle.de by 10:00 a.m. on 27.12.2024 to receive the tender documents.

The grounds for exclusion pursuant to Sections 123, 124 GWB apply accordingly.
